Terms of Service for Netzero

These Terms of Service ("Terms", "Agreement") govern your use of the Netzero application and related services ("App"), operated by Netzero Labs, Inc. ("Netzero", "we", "us", "our"). By using the App you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility and account

You must be legally able to form a binding contract where you live.
You must maintain accurate account information and keep your credentials secure.
You are responsible for all activity that occurs under your account.

2. License and acceptable use

We grant you a limited, nonexclusive, nontransferable, revocable license to use the App for personal, non-commercial use only. You will not:

access the App by automated means other than documented APIs, scrape, or attempt to bypass security;
reverse engineer, decompile, or create derivative works except to the extent allowed by law;
misuse automations in ways that could damage devices, violate tariffs, or breach third-party terms;
use the App for unlawful activity or to infringe intellectual property or privacy rights.

3. Device integrations and third-party services

The App relies on third-party services and device makers to function. By using the App you authorize Netzero Labs, Inc. to connect to these services, retrieve and process data, and act on your configured automations as described in the Privacy Policy. Access may require you to accept third-party terms. Service changes at those providers may affect App features.

4. Subscriptions and billing

Certain features require a paid subscription. Plans may be monthly or annual.
Billing, renewals, cancellations, and refunds are handled by the store or payment provider you used. Their policies apply.
Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period.
We may change pricing or plan features. We will give notice where required. Continued use after changes means acceptance.

5. User data and privacy

Our collection and use of data is described in the Privacy Policy. By using the App you consent to those practices. You are responsible for obtaining any consents from other household members or device owners where required.

6. Service availability and modifications

The App may be updated, changed, or discontinued at any time. Features may vary by platform or region.
Planned or unplanned downtime may occur. Data access and automations may be delayed or unavailable.
Beta or experimental features are provided for testing only and may be withdrawn without notice.

7. Safety and compliance

You are responsible for the safe operation of your energy devices. Verify that automations are suitable for your installation, tariffs, and regulations.
The App does not guarantee utility savings, battery health outcomes, or compliance with utility or warranty rules.
Use of the App does not replace manufacturer recommendations or licensed electrician advice.

8. Intellectual property

The App, documentation, and all content are owned by Netzero Labs, Inc. or its licensors and are protected by law. Except as allowed in section 2 you may not copy, modify, distribute, or create derivative works without written permission. Netzero and related marks are trademarks of Netzero Labs, Inc.

9. Feedback

If you provide feedback or suggestions, you grant Netzero Labs, Inc. a worldwide, royalty-free, perpetual license to use that input for any purpose without obligation to you.

10. Disclaimers

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Netzero Labs, Inc. disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and noninfringement. Energy forecasts, tariffs, device telemetry, and third-party data may be inaccurate or delayed.

11. Limitation of liability

To the fullest extent permitted by law, Netzero Labs, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or device wear, arising out of or related to your use of the App, even if advised of the possibility. Netzero Labs, Inc.'s total liability for any claim will not exceed the amount you paid to Netzero Labs, Inc. for the App in the 12 months before the event giving rise to the claim.

12. Indemnification

You will defend, indemnify, and hold harmless Netzero Labs, Inc. and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, costs, and expenses arising from your use of the App, your breach of these Terms, or your violation of law or third-party rights.

13. Suspension and termination

We may suspend or terminate access if you violate these Terms, misuse the App, or if required by law or third-party providers.
Upon termination your license ends and you must stop using the App. Sections 8 through 17 survive termination.

14. Export and sanctions compliance

You will comply with all United States export control and sanctions laws. You represent that you are not located in, under control of, or a national or resident of any embargoed country or denied party list.

15. Changes to these Terms

We may update these Terms from time to time. The latest version will be posted at Terms of Service with the new effective date. Continued use after changes means acceptance.

16. Governing law and venue

These Terms are governed by the laws of the United States. Any dispute that is not resolved informally will be brought in a court of competent jurisdiction within the United States. You and Netzero Labs, Inc. consent to that jurisdiction and venue.

17. Miscellaneous

Severability: if any provision is unenforceable, the remainder stays in effect.
No waiver: failure to enforce a provision is not a waiver.
Assignment: you may not assign this Agreement without our consent. We may assign it.
Entire agreement: these Terms and the Privacy Policy are the entire agreement regarding the App.
